Starting a Business in Ahmedabad?
The structure you choose on day one decides how you raise money, how profit is taxed, who carries the risk and how much paperwork you take on every year. Changing it later is possible, but it costs time, fees and sometimes tax, so it is worth settling before the first invoice goes out.

Private Limited Company
Founders usually consider a private limited company when they expect to raise equity from investors or offer ESOPs to employees, since both work through shares. It is a separate legal entity with limited liability, needs at least two directors and two shareholders, and is the structure most investors, larger customers and lenders are used to dealing with. It also carries the most compliance: a statutory audit every year whatever the turnover, board meetings, an annual general meeting and yearly filings with the Registrar of Companies. A single founder can use the One Person Company variant.
Limited Liability Partnership (LLP)
An LLP gives partners limited liability with lighter annual paperwork. It suits professional practices, consultancies and service businesses funded by the partners themselves. It files two annual forms with the Registrar (Form 8 and Form 11) and needs an audit only once turnover crosses ₹40 lakh or partner contribution crosses ₹25 lakh. Equity investors generally prefer companies, so an LLP is a less common choice where outside funding is planned.
Proprietorship and Partnership Firm
A proprietorship is the simplest way for one person to start. There is no incorporation step, and the owner and the business are the same person for tax and liability. A partnership firm lets two or more people share ownership under a partnership deed. Both are quick and inexpensive to set up, and in both the owners are personally liable for business debts. They are often used to test an idea or run a small owner-funded business, and are converted to an LLP or a company as the business grows.
Tax treatment differs as well. A company pays tax on its profit, and dividends are taxed again in the shareholders' hands. An LLP or partnership firm pays tax on its profit once, and a partner's share of that profit is not taxed again. A proprietor's business income is added to their own income and taxed at their slab rates.

Problems we see most often
- Credit that does not match. Input tax credit claimed in GSTR-3B has to be supported by what suppliers report in GSTR-2B. When a supplier files late or not at all, the credit is at risk, and the gap often surfaces months later as a notice.
- Registering at the wrong time. In Gujarat, registration becomes compulsory once aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services, and in some cases, such as inter-state supply of goods, from the first sale. Registering late brings back-dated tax.
- Deadlines that compound. Late returns attract late fees and interest, and returns missed for two periods block e-way bills and hold up your customers' input tax credit.
- Annual returns left to December. GSTR-9 is mandatory above ₹2 crore turnover and GSTR-9C above ₹5 crore. Reconciling a full year of monthly data in the last few weeks leaves little time to correct errors.
- Notices with short reply windows. A show-cause notice such as DRC-01 usually has to be answered within 30 days, and the options narrow quickly after that.
